Michigan Registered Agent Requirements

Get resident agent representation in Michigan for $99 annually. The price covers the registered office address, same-day scanning of legal documents, and state-deadline alerts.

Every Michigan LLC must continuously maintain a registered agent, which Michigan statutes call a resident agent, together with a registered office in the state. The requirement comes from MCL 450.4207 of the Michigan Limited Liability Company Act, and it applies to domestic LLCs and to foreign LLCs authorized to transact business in Michigan. The agent receives service of process, official notices from the Department of Licensing and Regulatory Affairs (LARA), and other government correspondence on your entity's behalf.

We provide complete registered agent service for $99 per year, including document processing, compliance tracking, and privacy protection.

Who Can Serve Under MCL 450.4207

The statute defines the eligible categories precisely. A Michigan resident agent may be:

  • An individual resident of Michigan whose business office or residence is identical with the registered office
  • A domestic corporation or a domestic LLC with a business office identical with the registered office
  • A foreign corporation or foreign LLC authorized to transact business in Michigan, again with a business office identical with the registered office

The full statutory text is available at MCL 450.4207.

The Registered Office Address Rule

MCL 450.4207 requires each LLC to continuously maintain a registered office in Michigan, an address the statute says "may, but need not be, the same as its place of business." The resident agent's business office or residence must match that registered office exactly.

In practice, the address must meet these standards:

Physical Location: A street address in Michigan. PO boxes and virtual offices do not satisfy the requirement.

Staffed Availability: Someone 18 or older must be present during normal business hours, Monday through Friday, 8 AM to 5 PM, to sign for documents.

Continuity: The designation must remain current at all times. A lapse in agent coverage jeopardizes good standing.

Michigan expects a resident agent from registered business entities across the board:

  • Limited liability companies, domestic and foreign
  • Corporations, for-profit and nonprofit
  • Limited partnerships and limited liability partnerships
  • Foreign entities authorized to operate in Michigan

Using a Home Address as the Registered Office

Some owners consider listing a personal address as the registered office. Before that address goes on file with LARA, weigh the operational consequences:

Public Records Exposure: The registered office appears in state databases that anyone can search. A home address listed there becomes publicly accessible.

Availability Burden: The weekday presence expectation, 8 AM to 5 PM, conflicts with travel, off-site work, and ordinary scheduling.

Relocation Filings: Every move requires a change filing with LARA and the associated fee.

Service of Process at Home: Process servers deliver lawsuit papers to the registered office during business hours. Most owners prefer that this not happen at their residence.

Professional Registered Agent Service Advantages

Privacy Protection: Our address appears on your public filings, keeping your home address out of state databases and reducing unsolicited commercial contact.

Consistent Availability: We maintain dedicated facilities staffed during required business hours, so you are not constrained by geography or scheduling.

Document Processing: All documents are scanned the same day received, with email notifications and online portal access for immediate awareness.

Compliance Support: We track Michigan deadlines and send advance reminders for the Annual Statement, due February 15 each year, and other regulatory obligations.

Operational Stability: Your registered agent address remains constant regardless of business relocations, eliminating repeat filings with LARA.
