Michigan Registered Agent Requirements

Who Can Serve Under MCL 450.4207

The Registered Office Address Rule

MCL 450.4207 requires each LLC to continuously maintain a registered office in Michigan, an address the statute says "may, but need not be, the same as its place of business." The resident agent's business office or residence must match that registered office exactly.

In practice, the address must meet these standards:

Physical Location: A street address in Michigan. PO boxes and virtual offices do not satisfy the requirement.

Staffed Availability: Someone 18 or older must be present during normal business hours, Monday through Friday, 8 AM to 5 PM, to sign for documents.

Continuity: The designation must remain current at all times. A lapse in agent coverage jeopardizes good standing.

Availability Burden: The weekday presence expectation, 8 AM to 5 PM, conflicts with travel, off-site work, and ordinary scheduling.

Relocation Filings: Every move requires a change filing with LARA and the associated fee.

Service of Process at Home: Process servers deliver lawsuit papers to the registered office during business hours. Most owners prefer that this not happen at their residence.
